Terms of Service

These Terms of Service govern the services provided by Bizengn (“Bizengn,” “we,” “us,” or “our”) to any client who purchases, approves, or uses our services.

By signing a proposal, approving an invoice, submitting payment, clicking acceptance, or otherwise authorizing Bizengn to begin work, you agree to these Terms of Service.

If you do not agree, do not purchase or use our services.

1. Scope

These Terms apply to Bizengn’s paid services, including strategy, consulting, website development, digital system setup, automation, operations support, optimization, and related deliverables.

Each engagement is also governed by the applicable proposal, scope of work, invoice, order form, or written agreement. If there is a conflict, the controlling order is:

  1. Signed agreement or order form

  2. Accepted proposal or scope of work

  3. These Terms of Service

 

2. Services

Bizengn will provide the services described in the applicable proposal or agreement.

Anything not specifically included in the written scope is outside scope and may require additional fees, a revised timeline, or a separate agreement.

 

3. Client Responsibilities

To help us perform the work properly, you agree to:

  • Provide accurate information

  • Supply requested content, files, access, and approvals on time

  • Designate a primary point of contact

  • Maintain valid access to any required third-party tools or platforms

  • Ensure that all content, claims, and materials you provide may legally be used

 

You are responsible for the accuracy and legality of the materials you supply to us.

 

4. Timelines and Delays

Project timelines are estimates unless we state otherwise in writing.

Timelines depend on timely communication, access, approvals, and cooperation from you and any third-party providers involved in the project.

If delays are caused by missing materials, slow approvals, scope changes, or inactivity, Bizengn may revise the timeline, pause the project, or require a restart or reactivation fee before resuming work.

 

5. Fees and Payment

You agree to pay the fees stated in the applicable proposal, invoice, or order form.

Unless otherwise stated in writing:

  • Deposits are non-refundable once work is scheduled or started

  • Invoices are due within 14 days

  • Overdue balances may result in late fees or suspension of work

  • Taxes, if applicable, are your responsibility unless otherwise stated

 

6. Renewals and Ongoing Services

If your engagement includes ongoing support, maintenance, optimization, hosting administration, or operations services, the billing structure, renewal term, and notice requirements will be stated in the applicable proposal or agreement.

If year-one service is included as part of a build, that inclusion applies only for the period stated in the proposal. Continued service after that period requires renewal.

 

7. Change Requests

Any change to scope, functionality, page count, integrations, workflows, revision volume, or project direction may require additional fees and a revised timeline.

Bizengn is not required to begin additional or changed work until updated terms are approved.

 

8. Third-Party Platforms

Many Bizengn projects rely on third-party platforms, tools, plugins, payment systems, email providers, CRMs, hosting environments, or software integrations.

Bizengn is not responsible for third-party outages, pricing changes, feature removals, security issues, policy changes, or performance failures caused by those providers.

Any third-party subscriptions or platform fees are your responsibility unless expressly included in writing.

 

9. Ownership and Intellectual Property

Bizengn retains ownership of its pre-existing materials, internal methods, templates, systems, frameworks, and reusable assets.

You retain ownership of the content and materials you provide.

Upon full payment, you receive the rights expressly granted in the applicable proposal to the final approved deliverables created specifically for your business, subject to any third-party license terms.

 

10. Access and Account Control

Unless otherwise agreed in writing, you should maintain primary ownership of your core business accounts where reasonably possible, including your domain registrar, payment processor, analytics accounts, and similar core assets.

Bizengn may require administrative or delegated access in order to perform services.

We may remove our access after completion, termination, or transition of the engagement.

11. Handoff, Transition, and Deactivation

If you do not continue ongoing services with Bizengn, any transition, handoff, migration, training, or offboarding work may require a separate fee.

Bizengn is not required to provide unlimited post-termination support.

If certain systems, automations, or managed environments depend on Bizengn-owned infrastructure, internal management layers, or service arrangements, those components may be removed, disconnected, or deactivated if service is discontinued and no handoff arrangement is purchased.

Any client-owned assets that have been fully paid for remain yours, subject to applicable platform rules and license limitations.

12. Revisions and Approvals

Revision rounds, if any, are governed by the applicable proposal.

Once deliverables are approved, launched, or placed into active use, further edits may be treated as new work or ongoing support work.

13. Compliance and Claims

You are responsible for your own business claims, legal compliance, disclosures, permissions, consent practices, and industry-specific obligations unless Bizengn expressly agrees in writing to handle a specific compliance-related scope.

Bizengn does not provide legal, tax, or regulatory advice.

14. Confidentiality

Each party agrees to protect the other party’s non-public confidential information and use it only as needed for the engagement.

This does not apply to information that is already public, was lawfully known, is independently developed, or is lawfully received from another source.

15. Privacy

Information collected through Bizengn’s website is governed by our Privacy Policy.

If Bizengn builds or manages systems for your business, you remain responsible for your own privacy, consent, disclosure, and compliance obligations unless we expressly agree otherwise in writing.

16. Portfolio and Publicity

Unless otherwise agreed in writing, Bizengn may identify you as a client and display non-confidential aspects of the work in its portfolio, proposals, case studies, or marketing materials.

If confidentiality, white-labeling, or delayed publication is required, it must be agreed in writing.

17. Reviews and Feedback

Nothing in these Terms prevents you from giving an honest review, opinion, or feedback about Bizengn’s services.

18. Disclaimer of Warranties

Services and deliverables are provided on an “as is” and “as available” basis except where we expressly state otherwise in writing.

Bizengn does not guarantee specific business outcomes, including revenue, lead volume, rankings, conversion rates, fundraising performance, or growth results.

19. Limitation of Liability

To the fullest extent permitted by law, Bizengn will not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, lost data, or lost opportunities.

Bizengn’s total liability arising out of the engagement will not exceed the total amount paid by you to Bizengn under the applicable proposal during the 12 months preceding the event giving rise to the claim.

20. Suspension and Termination

Bizengn may suspend or terminate services if you fail to pay, materially breach these Terms, misuse the services, or make the engagement unworkable through prolonged non-responsiveness or abusive conduct.

Termination does not eliminate your obligation to pay for work already performed, committed expenses, or non-cancellable third-party costs.

21. Governing Law

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles.

Any dispute arising from these Terms or the services will be brought exclusively in the state or federal courts located in Montgomery County, Pennsylvania, unless otherwise stated in writing.

22. Changes to These Terms

Bizengn may update these Terms from time to time by posting a revised version on this page.

The version in effect on the date you accept a proposal or otherwise enter into an engagement with Bizengn will govern that engagement unless you agree in writing to a later version.
